OEM & ODM Policy
Preface
This policy aims to clarify the service standards, cooperation rules and core rights of both parties (we as the manufacturer and you as the brand owner/purchaser) in clothing OEM (Original Equipment Manufacturing) and ODM (Original Design Manufacturing) cooperation, providing transparent and efficient guidance for cooperation. This policy applies to all clothing OEM/ODM cooperation reached through our official website. Both parties shall abide by the agreements of this policy to jointly ensure the smooth progress of cooperation.
I. Cooperation Model Introduction
1.1 OEM Cooperation
- Core of Cooperation: You (the customer) provide brand authorization, complete design drawings, technical specifications, quality standards and material requirements. We conduct production and processing in strict accordance with your requirements. Products are affixed with your brand logo, and we only charge processing fees.
- Scope of Application: Various clothing and accessories (tops, pants, dresses, coats, scarves, hats, etc.), subject to the confirmed order between both parties.
1.2 ODM Cooperation
- Core of Cooperation: Based on our own design and R&D capabilities, we provide complete product design schemes (including style, fabric, craftsmanship, version, etc.), which are mass-produced after your confirmation. Products can be affixed with your brand logo as required, and we charge design fees and production processing fees.
- Scope of Application: Design schemes conform to your brand positioning and target market needs (such as Muslim clothing and ethnic characteristic clothing in the Middle East/African markets). Specific design schemes and product scope are subject to written confirmation documents.
II. Customer Rights and Cooperation Requirements
2.1 Core Rights of Customers
- Customized Service: You can clarify core requirements such as product design, quality and packaging according to your brand needs, and we will provide adaptive production/design schemes.
- Right to Know Throughout the Process: You can request to check the progress of key nodes during production (such as pre-production sample confirmation, production random inspection), and we will feedback the progress in a timely manner.
- Quality Assurance: Products comply with national mandatory standards and agreed standards. Unqualified products can be returned, replaced or reworked as per policy.
- Intellectual Property Protection: Your brand, design, technology and other intellectual property rights are strictly protected by us and only used for cooperative projects.
- Compliance Service: For export products, we will cooperate to meet the compliance requirements of the target market (such as halal certification in the Middle East, import quality standards in Africa).
2.2 Cooperation Requirements for Customers
- Provide Clear Requirements: For OEM cooperation, provide complete and accurate design drawings, technical parameters and brand specifications; for ODM cooperation, clarify brand positioning, target market, core functions and quality bottom line.
- Confirm Key Information Timely: After receiving samples, design schemes and order confirmation forms submitted by us, please complete the review and confirmation within 5 working days. Failure to reply within the time limit shall be deemed as default consent.
- Provide Legal Authorization: If you need to use your brand or trademark, provide legally valid authorization documents specifying the scope and term of authorization.
- Pay Fees on Time: Pay advance payment, progress payment, final payment and other related fees in accordance with the agreed settlement method and time limit to avoid affecting production progress.
III. Our Service Commitments and Standards
3.1 Production and Qualification Guarantee
- Possess legal production qualifications (business license, production license, etc.), with production equipment, professional technical team and stable production capacity meeting industry standards, ensuring timely, high-quality and quantitative product delivery.
- Strictly control the production process, establish a three-level quality inspection system (raw material inspection, process inspection, finished product inspection), and conduct full inspection for each batch of products before leaving the factory to ensure no quality issues.
3.2 Design and Material Specifications
- ODM Design Service: Ensure the originality of design schemes without infringing third-party intellectual property rights; design schemes will fully consider your brand positioning and target market needs, providing detailed style drawings, process descriptions and bill of materials.
- Material Management:
- Customer-provided materials: We will keep them properly, not arbitrarily replace or misappropriate, and return the remaining materials as agreed.
- Self-purchased materials: We will select high-quality materials meeting your requirements, provide material samples and qualification certificates for your confirmation, ensuring materials are environmentally friendly and compliant.
3.3 Confidentiality and Intellectual Property Protection
- Confidentiality Commitment: Strictly keep your trade secrets obtained during cooperation (design drawings, technical parameters, customer information, price system, etc.) confidential, and will not disclose to any third party. The confidentiality obligation remains valid for 3 years after the termination of cooperation.
- Intellectual Property Agreement:
- Your brand, design, technology and other intellectual property rights belong to you, and we only use them within the scope of cooperation.
- ODM design schemes provided by us (unless otherwise agreed) belong to us. You obtain the right to use the schemes for cooperative products, and shall not transfer to third parties or use for non-cooperative products.
IV. Orders, Delivery and After-sales Service
4.1 Order Process
- Order Placement: You can place orders through website consultation, email or online system, specifying key information such as product name, specification, quantity, delivery time and location.
- Order Confirmation: We will complete the review within 3 working days after receiving the order, issue the Order Confirmation Form after confirming production capacity, which will take effect after your confirmation.
- Order Change: If you need to change the order content (quantity, specification, delivery time, etc.), please notify us in writing 7 working days in advance. We will coordinate adjustments according to production progress; additional costs caused by changes shall be borne by you.
4.2 Delivery Standards
- Delivery Time: Implemented as per order agreement. If delayed due to force majeure (natural disasters, policy adjustments), we will notify you 3 working days in advance to negotiate adjusted delivery time; if delayed due to our reasons, we will pay liquidated damages of 0.5% of the total order amount per day, and you can negotiate a refund or compensation if delayed for more than 7 days.
- Packaging and Logistics:
- Packaging: Meets transportation safety and brand image requirements; follows your specifications for OEM cooperation, and negotiates for ODM cooperation; product name, specification, batch, brand and other information are indicated on the package.
- Logistics: We will arrange transportation by default (fees as agreed), or you can specify the logistics method; for export products, we will cooperate to provide customs clearance documents (commercial invoice, bill of lading, certificate of origin, etc.).
- Attached Documents: Provide Product Qualification Certificate, Factory Inspection Report, Packing List and other relevant documents upon delivery.
4.3 After-sales Service
- Quality Issue Handling: Within 7 working days after receipt, if you find quality problems (such as fabric defects, sewing flaws, dimensional deviation, etc.), please provide relevant evidence (photos, test reports). We will verify and handle it within 3 working days, providing rework, replacement or refund services.
- Consultation and Feedback: For any questions or suggestions during cooperation, you can contact us through website customer service, email or phone. We will respond within 24 hours and provide solutions.
V. Other Notes
- Matters not covered in this policy shall be determined through negotiation between both parties, and supplementary agreements shall have the same effect as this policy.
- If cooperation adjustments are required due to updates of target market policies or industry standards, we will notify you in advance to negotiate adaptive schemes.
- We reserve the final right to interpret this policy. Any revisions will be announced through the official website, and the revised policy will take effect from the date of announcement.
